Terms and Conditions

ClicknPay Online Marketplace, a company incorporated under the laws of Zimbabwe with its principal office located at 3rd Floor Bluebridge North Eastgate Complex, Cnr Robert Mugabe Street & 2nd Street, Harare, Zimbabwe, 00263 (hereinafter referred to as "ClicknPay"), and 

The SELLER, a business entity/individual with a principal place of business within the country of operation. 

WHEREAS, ClicknPay operates an online marketplace platform ("Marketplace") that enables sellers to display, market, and sell their products/services to customers; 

AND WHEREAS, the Seller wishes to list and sell their products/services on the Marketplace; 

NOW, THEREFORE, the Parties agree as follows: 

 

  1. Definitions

1.1 Marketplace: Refers to the ClicknPay online platform where products/services are listed for sale. 

1.2 Commission: An 5% fee deducted from the gross revenue generated from sales of Seller’s products/services. 

1.3 Products/Services: Goods or services listed by the Seller for sale on the Marketplace. 

Requirements to Register as an Online Marketplace Seller 

  1. Business Information: 
  • Registered business name (if applicable) 
  • Physical address 
  • Contact details (phone and email) 
  1.  Banking Details: 
  • Bank account or mobile money details for payouts 
  1. Product Information: 
  • Product descriptions, images, and prices 
  • Any necessary certifications (e.g., food safety, electronics standards) 
  1. Seller Obligations

2.1 The Seller agrees to provide accurate, complete, and up-to-date information about their products/services, including pricing, descriptions, and availability. 

2.2 The Seller is responsible for ensuring that all products/services comply with applicable laws, regulations, and Marketplace policies. 

2.3 The Seller agrees to process and fulfill customer orders promptly, including handling delivery and addressing any complaints. 

2.4 The Seller shall not engage in fraudulent, misleading, or unethical practices. 

 

  1. ClicknPay Obligations

3.1 ClicknPay will provide a platform for the Seller to list and sell their products/services. 

3.2 ClicknPay will process customer payments and remit proceeds to the Seller, less the 8% commission. 

3.3 ClicknPay will provide technical support and customer service for Marketplace users. 

3.4 ClicknPay reserves the right to suspend or terminate any product listing or Seller account that violates the terms of this Agreement. 

 

  1. Commission and Payment Terms

4.1 An 5% commission will be charged on the total sale price (inclusive of VAT, if applicable) of each transaction. 

4.2 ClicknPay will remit the net proceeds (sale price minus the commission) to the Seller within 7 business days after the successful completion of the transaction. 

4.3 The Seller acknowledges that additional charges, such as transaction fees or taxes, may apply as per the Marketplace policy. 

 

  1. Term and Termination

5.1 This Agreement shall commence on the Effective Date and continue until terminated by either Party. 

5.2 Either Party may terminate this Agreement by giving 30 days’ written notice. 

5.3 ClicknPay reserves the right to terminate this Agreement immediately for any breach of terms by the Seller. 

 

  1. Intellectual Property

6.1 The Seller grants ClicknPay a non-exclusive license to use the Seller’s trademarks, logos, and product images for the purposes of promoting their products/services on the Marketplace. 

6.2 The Seller retains ownership of all intellectual property rights related to their products/services. 

 

  1. Limitation of Liability

7.1 ClicknPay shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Marketplace. 

7.2 The Seller agrees to indemnify and hold ClicknPay harmless from any claims arising out of the Seller’s breach of this Agreement or applicable laws. 

 

  1. Dispute Resolution

8.1 Any disputes arising from this Agreement shall be resolved amicably between the Parties. 

8.2 If no resolution is reached, the dispute shall be submitted to arbitration in country of operation, in accordance with the arbitration rules of Governing laws. 

 

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Zimbabwe. 

 

  1. Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements or understandings. 

 

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date first written above.
